Bayer Romania to absorb local subsidiary Monsanto

October 14 (SeeNews) - Bayer Romania, part of multinational pharmaceutical and life sciences company Bayer Group, will absorb local subsidiary Monsanto on November 30, a merger project published in the Official Gazette has shown.

The merger by absorption of pesticide and seed producer Monsanto Romania is part of Bayer Group's decision to consolidate its operations in Romania under a more efficient and simple structure, according to the merger project published in the Official Gazette on October 5.

Also, the process is aimed at removing parallel management structures and achieving cost synergies while implementing a single personnel policy and developing a coherent investment plan.

Bayer Group completed its acquisition of agrochemical giant Monsanto in June 2018, for a total of roughly $63 billion (64.7 billion euro).

The merger by absorption will take effect on November 30, when Monsanto Romania will cease to exist and dissolve into Bayer's structure without going into liquidation. The assets and liabilities of the absorbed company will be transferred to Bayer and the two companies will continue their existence as a single merged legal entity. Monsanto Romania employees will be transferred to Bayer as part of the absorption.

Netherlands-based Bayer Global Investments owns a 99% stake in Bayer Romania, while Bayer CropScience Germany holds the remaining 1%.

Bayer Romania’s operations are structured into crop science, pharmaceutical, and consumer health divisions.

Bayer Group employs 99,637 worldwide and booked 44.1 billion euro in revenue last year, according to its 2021 annual report.
